Terms of Service
Draft — pending legal review. This document is an early draft provided for review and adaptation. It is not a final or binding legal agreement and does not constitute legal advice.
Last updated: May 30, 2026
These Terms of Service ("Terms") govern your access to and use of Hisamed ("Hisamed", "the Service", "we", "us"), an electronic health record (EHR) application. By creating an account or using the Service you ("you", "the Doctor") agree to these Terms.
1. Who operates the Service
Hisamed is currently operated by Angel Jaen, acting as an individual sole trader — not as an incorporated company. References to "we" or "us" refer to Angel Jaen in that personal capacity. Contact: soporte@hisamed.com.
We may transfer operation of the Service to a company or other legal entity in the future; if we do, we will give you notice and these Terms will be assigned accordingly.
2. Who may use the Service
The Service is intended only for licensed medical professionals and their authorized clinic staff. By using the Service you represent that:
- you are a medical professional (or staff acting under one) legally entitled to handle patient health information in your jurisdiction;
- you are at least the age of majority and able to enter into a binding agreement; and
- the information you provide when registering is accurate.
Access is currently granted by invitation or request during the pilot (see Section 6). We may decline or revoke access at our discretion.
3. Your account
You are responsible for:
- keeping your login credentials confidential and not sharing accounts;
- all activity that occurs under your account;
- the accuracy of the data you enter; and
- ensuring anyone you authorize to use your account complies with these Terms.
Notify us promptly at soporte@hisamed.com if you suspect unauthorized access. Passwords are stored only as argon2id hashes; we cannot recover a lost password, only reset it.
4. Acceptable use
You agree not to:
- use the Service for anything other than legitimate clinical record-keeping;
- upload data you have no legal right or authority to process;
- attempt to access another clinic's data or circumvent the Service's multi-tenant isolation;
- probe, scan, or test the security of the Service without our written permission, or disrupt its operation;
- reverse engineer, resell, or sublicense the Service; or
- use the Service to violate any applicable law or any patient's rights.
5. Data ownership and roles
You own the patient records you create or upload. As between you and us, all patient data entered into the Service remains yours.
For the purposes of data-protection law, you are the data controller of your patients' personal and medical data, and Hisamed is the data processor, processing that data only to provide the Service on your instructions. The Data Processing Agreement (DPA) describes this relationship and forms part of these Terms.
You are solely responsible for obtaining any patient consent and for having the legal authority required to upload and process patient data. Hisamed does not obtain consent from your patients on your behalf.
6. Free pilot, and future paid plans
The Service is currently offered in an early-access pilot, free of charge. During the pilot:
- there is no subscription, billing, or payment of any kind;
- features may change, and the Service may be incomplete or experimental.
We reserve the right to introduce paid plans in the future. If we do, we will give you reasonable advance notice and you will be able to choose whether to subscribe before any charge applies. We will never silently start charging you for the pilot.
We may end the pilot, suspend, or discontinue the Service at any time. Where practical we will give you notice and a reasonable opportunity to export your data before any termination takes effect.
7. Service availability
The Service is provided on a best-effort basis. There is no formal Service Level Agreement (SLA), uptime guarantee, or support commitment during the pilot. The Service may be unavailable for maintenance, updates, or reasons outside our control. It is not certified under HIPAA or any equivalent framework, and you should not rely on it as your sole record of patient care.
You are responsible for keeping your own backups of critical information.
8. Disclaimers and limitation of liability
The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement. Hisamed is a record-keeping tool and does not provide medical advice; clinical decisions remain entirely your professional responsibility.
To the maximum extent permitted by applicable law, Angel Jaen (operating Hisamed) shall not be liable for any indirect, incidental, special, or consequential damages, or for loss of data, revenue, or goodwill, arising from your use of or inability to use the Service. Because the Service is currently provided free of charge, our aggregate liability to you is limited to the greatest extent the law allows.
Nothing in these Terms excludes liability that cannot lawfully be excluded.
9. Governing law and dispute resolution
These Terms are governed by the laws of [jurisdiction to be confirmed — see draft note]. The parties will attempt to resolve disputes in good faith before pursuing other remedies. (This section is a placeholder and must be set by a lawyer based on the operator's residence and the doctors' locations.)
10. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified to you by email or in-app. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
11. Termination
You may stop using the Service and request deletion of your account at any time by contacting soporte@hisamed.com. On termination, data is handled as described in the DPA.
